Tigatech Ltd – Terms and Conditions of Sale

1. Introduction
These Terms and Conditions (“Terms”) govern the sale of all products supplied by Tigatech Ltd (“Tigatech”, “we”, “us”, or “our”). By purchasing or using any product from Tigatech Ltd, the customer (“you” or “Customer”) agrees to be bound by these Terms.

2. Limitation of Liability
2.1 Tigatech Ltd provides all products, including adhesives, in good faith. While we take reasonable steps to ensure product quality, all products are supplied without warranties, conditions, or guarantees other than those required by law.

2.2 To the fullest extent permitted by law, Tigatech Ltd shall not be liable for any:

  • Loss of profit
  • Loss of business or contracts
  • Loss of production or downtime
  • Loss of revenue or anticipated savings
  • Indirect or consequential loss or damage

2.3 Tigatech Ltd’s total liability for any claim arising out of or in connection with the supply or use of its products shall be limited to the total value of the goods supplied under the relevant order.

2.4 Responsibility for the use, application, and handling of our adhesives lies solely with the Customer. The Customer assumes full risk of any outcomes resulting from their use.

3. Product Testing and Use
3.1 All adhesives supplied by Tigatech Ltd must be tested by the Customer prior to each and every use.

3.2 Tigatech Ltd accepts no responsibility for failure or performance issues resulting from improper testing, application, or use.

4. Product Variations
4.1 Variations in batches, colour, texture, viscosity, or performance may occur and are inherent in manufacturing processes.

4.2 Such variations do not constitute defects, and Tigatech Ltd accepts no liability for differences between batches or product performance in use.

5. Information Provided
All technical data, recommendations, and guidance are provided in good faith for general information only and do not constitute a warranty. The Customer is solely responsible for ensuring product suitability.

6. Orders, Returns, and Restocking Fees
6.1 Orders may not be cancelled once confirmed without Tigatech Ltd’s written agreement.

6.2 A 25% restocking fee will apply to any returned goods or cancelled confirmed orders. Goods must be unused and in original packaging unless otherwise agreed.

7. Payment Terms and Late Fees
7.1 All invoices must be paid by the due date stated.

7.2 Tigatech Ltd reserves the right to charge interest on overdue sums at 8% per annum above the Bank of England base rate, calculated daily.

7.3 Tigatech Ltd may also recover reasonable debt recovery costs and statutory compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

8. Retention of Title
8.1 Ownership of goods shall remain with Tigatech Ltd until payment in full has been received for all goods supplied.

8.2 Until ownership passes, the Customer shall store goods separately and clearly identify them as Tigatech Ltd property.

8.3 Tigatech Ltd reserves the right to enter premises to recover unpaid goods.

8.4 Where goods are resold before payment, proceeds shall be held on trust for Tigatech Ltd.

9. Delivery and Risk
9.1 Delivery dates are estimates only and not guaranteed. Tigatech Ltd shall not be liable for any delays in delivery.

9.2 Risk in the goods shall pass to the Customer upon delivery to the agreed delivery location or upon collection by the Customer or their agent.

9.3 Once risk has passed, Tigatech Ltd shall not be responsible for any loss, damage, or deterioration of the goods.

10. Force Majeure
10.1 Tigatech Ltd shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control.

10.2 Such events include, but are not limited to: acts of God, natural disasters, fire, flood, war, terrorism, labour disputes, supply chain disruptions, transport delays, or failure of utilities.

10.3 In such circumstances, Tigatech Ltd may suspend or cancel affected orders without liability.

11. Dispute Resolution
11.1 The parties shall first attempt to resolve disputes through good faith negotiation.

11.2 If unresolved, the parties agree to attempt mediation before commencing legal proceedings.

11.3 This does not prevent either party from seeking urgent legal remedies where necessary.

12. Governing Law
These Terms are governed by the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of its courts.

13. Acceptance of Terms
By purchasing or using Tigatech Ltd products, the Customer confirms acceptance of these Terms.
